1.4. "Prospect" Refers to the business/personnel contacted by the Company who has expressed interest with regard to the Client.

1.5. "Qualified" when related to Prospect refers to a collection of traits and qualities as defined by the Company a Prospect has to make them suitable to work with the Client.

## 2. Scope of Services

2.1. The Company will provide agreed-upon services as outlined in the signed proposal, contract, or scope of work document.

2.2. Services may include, but are not limited to, email outreach campaigns, lead generation, appointment setting, and digital marketing consulting.

2.3. Any additional services outside the agreed scope may incur additional charges and require written agreement.

## 3. Client Obligations

3.1. The Client must provide all necessary information, materials, and access required for the Company to deliver services effectively.

3.2. The Client agrees to:

- Respond promptly to requests for approvals or feedback.

- Comply with all applicable laws and regulations.

- Ensure the accuracy of the information provided to the Company.

## 4. Payment Terms

4.1. The Client agrees to pay the fees as outlined in the proposal or contract.

4.2. Payments are due within the specified timeframe after receipt of an invoice unless otherwise agreed.

4.3. Late payments may incur additional fees or interest as permitted by applicable law.

4.4. Non-payment may result in suspension or termination of services.

## 5. Refund and Guarantee Policy

5.1. The Company may offer Guarantees to the Client

5.2. This guarantee is subject to:

- The Client fulfilling their obligations under these terms.

- The agreed scope of work being maintained without changes.

5.3. Refunds are not available unless explicitly agreed in formal writing within a contract by the Company.

5.4 In order to claim a valid refund, the Client must notify the Company within 24 hours of such claim becoming valid.

## 6. Confidentiality

6.1. Both parties agree to keep confidential any proprietary or sensitive information disclosed during the course of the relationship.

6.2. The Company may use anonymized data or metrics for marketing purposes unless explicitly prohibited in writing by the Client.

## 7. Intellectual Property

7.1. The Company retains ownership of any intellectual property, methodologies, or materials created during the engagement unless otherwise agreed in writing.

7.2. The Client retains ownership of any materials they provide to the Company.

## 8. Limitation of Liability

8.1. The Company is not liable for indirect, incidental, or consequential damages arising from the use of its services.

8.2. The Company’s total liability is limited to the amount paid by the Client for services in the three months preceding any claim.

## 9. Termination

9.1. Either party may terminate the agreement with 30 days’ written notice.

9.2. Termination does not absolve the Client from paying any outstanding fees.

9.3. Upon termination, the Company will deliver any completed work that has been paid for by the Client.

## 10. Force Majeure

10.1. The Company is not responsible for delays or failures caused by events outside its reasonable control, including natural disasters, strikes, or technical issues.

## 11. Governing Law and Dispute Resolution

11.1. These terms are governed by the laws of the United Kingdom.

11.2. Any disputes will be resolved through negotiation, and if necessary, arbitration or litigation in the appropriate courts of the United Kingdom.
